1. Acceptance of Terms
By accessing our website at tnion.com or engaging PT TechNion Digital Solutions (“TechNion”, “we”, “us”) for any services, you agree to be bound by these Terms & Conditions. If you do not agree, please discontinue use of our services.
2. Services
TechNion provides technology services including Odoo ERP implementation and customization, AI-powered business automation, custom software development (web and mobile), and IT consulting. All services are delivered as agreed in individual project contracts or service agreements signed by both parties.
3. Project Contracts & Scope
Each engagement begins with a signed contract defining the scope of work, deliverables, timeline, and payment terms. Any work requested beyond the agreed scope is subject to additional pricing and must be confirmed in writing. Verbal agreements are not binding.
4. Payment Terms
Payment schedules are defined per contract. Unless otherwise agreed: a percentage is due at signing, with additional milestones at defined delivery stages. Late payments may result in suspension of services. PT TechNion Digital Solutions reserves the right to charge interest of 10% per annum on overdue invoices. All prices are exclusive of applicable taxes unless stated otherwise.
5. Intellectual Property
Any custom code, modules, configurations, or software developed by TechNion remain the intellectual property of PT TechNion Digital Solutions. Clients receive a non-exclusive, non-transferable operational license for the delivered software. Off-the-shelf or third-party components (including Odoo Community) remain subject to their respective open-source licenses. This clause may be varied by written agreement.
6. Confidentiality
Both parties agree to keep confidential any proprietary business information, technical data, or client data shared during the engagement. This obligation survives the termination of any agreement.
7. Limitation of Liability
TechNion’s liability for any claim arising from our services shall not exceed the total fees paid by the client for the specific service in question. We are not liable for indirect, incidental, or consequential damages, including loss of business, data, or profits.
8. Warranties & Disclaimer
We warrant that services will be performed with reasonable professional skill. We do not warrant that software will be error-free or uninterrupted. Third-party platforms (such as Odoo) are subject to their own warranties and terms. We are not responsible for issues arising from third-party software changes.
9. Support & Maintenance
Post-delivery support is governed by the support agreement in place. Free support periods (if any) are specified per contract. Paid support packages are available as outlined on our Pricing page. Response times are defined per support tier.
10. Termination
Either party may terminate an agreement with written notice if the other party materially breaches these terms and fails to remedy within 14 days. Outstanding payments remain due upon termination. TechNion retains ownership of all work product until full payment is received.
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Republic of Indonesia. Any disputes shall first be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to the competent court in Jakarta, Indonesia.
12. Privacy
Your use of our website and services is also governed by our Privacy Policy, which is incorporated herein by reference.
13. Changes to These Terms
We reserve the right to update these Terms at any time. Changes will be posted at tnion.com/terms with an updated effective date. Continued use of our services after changes constitutes acceptance of the revised terms.
